Terms for brands

1. Who we are

Devign Brands is run by Devign LLC, a limited liability company registered in Wyoming, USA (filing 2025-001631894), at 5830 E 2nd St, Ste 7000 #23016, Casper, WY 82609, United States. Our team works from Beirut, Lebanon. Devign is a TikTok LIVE creator agency.

In these terms, "Devign", "we" and "us" mean Devign LLC. "You" means the business that holds the account and each person who uses the account for it. "Creators" means TikTok creators who are members of the Devign agency.

Devign Brands is not run, endorsed or sponsored by TikTok.

2. What Devign Brands is

Devign Brands lets businesses post deals (paid promotion briefs) for Devign creators who chose to take part in brand deals in the Devign Creator App. You can post deals for one or more of these regions: MENA, Türkiye, Caucasus & Central Asia, Australia & Pacific, Brazil, Latin America, Indonesia and Thailand. You can browse those creators, invite them to a deal and accept creators who apply.

Creating an account, browsing creators and posting deals is free. You pay only for bookings that Devign confirms in writing, by Devign invoice.

Devign's own team runs every booked deal. We confirm the details, the final price, the contract and the invoice with you, and we brief the creator.

3. Who can use the site

• The site is for businesses only. It is not for personal or household use.
• You must be at least 18 years old.
• You must have the authority to accept these terms for the business you name, and to bind it to bookings.
• Each business may have one account, unless we agree otherwise in writing.
• You must not use the site if we closed an earlier account of yours, unless we agree in writing.

4. Your account and its security

• The information you give us must be true and kept up to date. This includes your company name, website, country and contact details.
• You must confirm your email address before you can browse creators, post deals or invite creators.
• Use a strong password that you do not use anywhere else, and keep it secret. We offer two-step sign-in with an authenticator app, and we recommend you turn it on.
• Do not share your sign-in details. Each person who signs in should be someone you trust to act for your business.
• You are responsible for everything done with your account. If you think someone else used it, change your password and tell us at once at support@devignlb.com.
• To change the email address you sign in with, write to support@devignlb.com.

5. What you may post: content rules

These rules apply to everything you add to the site: deals, invitation messages, your company name, your "about" text and your logo. A deal must be a real promotion of a real, legal product or service of your business.

Deals must not promote, sell or involve:

• gambling, betting, casinos, lotteries or games of chance for money;
• adult or sexual content, escort services or adult dating;
• weapons, ammunition or explosives;
• drugs, including legal highs and products that claim drug-like effects;
• tobacco, vaping, e-cigarettes or nicotine products;
• alcohol;
• crypto currencies or tokens, forex, trading, or any investment product or scheme;
• loans or credit, MLM, pyramid schemes or "get rich" offers;
• prescription or other medicines, weight-loss pills or other health products with medical claims;
• political parties, candidates, campaigns or causes;
• counterfeit or fake goods, or goods that break anyone's trademark or copyright;
• hate, harassment, or content that attacks people for who they are;
• anything aimed at minors, or unsafe for them;
• anything that asks creators to pay, to buy a starter pack or to join something for a fee;
• anything that asks creators for passwords, sign-in codes, verification codes or access to their accounts;
• false or misleading claims, fake reviews or fake engagement;
• anything that is illegal in any region you pick for the deal, or that breaks TikTok's rules.

Deal texts and messages must not contain contact details. That means no email addresses, phone numbers, links (other than the product link field), messaging apps or ids, or handles on other platforms. The site blocks these automatically. TikTok @handles and #hashtags are allowed.

Disclosure is required. Every paid promotion must be clearly disclosed as branded content, using TikTok's branded content disclosure tools and as the law of each region requires. You must follow TikTok's branded content rules and the advertising and consumer laws of every region you pick. Never ask a creator to hide or play down that content is paid.

6. Screening, and our right to refuse or remove

• Every deal is checked before creators can see it. The check uses automatic rules and an automated AI review, and our staff may also review it. A deal goes back to review each time you change the text of a deal you already sent.
• We may refuse, pause or remove any deal, message, logo or account at any time if we believe it breaks these terms, or could harm creators, viewers, Devign or our standing with TikTok. We do not have to accept any deal. Where we can, we tell you the reason.
• A deal that passed the check is not approved by us in any legal sense. You remain responsible for it.
• Only Devign staff can mark a business as verified. We decide this at our discretion and can remove it.

7. How booking works

1. You post a deal with your regions, dates, number of creators and a budget per creator.
2. You invite creators whose region the deal covers, and creators may apply. Creators are free to accept or decline. You are free to accept or decline an application.
3. When you accept an application, or a creator accepts your invitation, the site shows the creator as booked. This is a booking request, not a contract.
4. Devign's team then contacts you to confirm the details, the final price, the contract and the invoice.
5. A booking becomes binding only when Devign confirms it to you in writing (by email or by a signed contract). No work starts and nothing is owed before that written confirmation.
6. After that, Devign briefs the creator and follows the deal until it is done.

• You cannot book more creators than the number you set on the deal. Limits apply to how many invitations you can send.
• Until Devign confirms a booking in writing, either of us may cancel it at no cost. After that, cancelling follows the booking contract.
• We may decline a booking request, for example if the creator is no longer available or the deal no longer meets these terms.

8. Price and payment

• The budget per creator you set on a deal is an offer, not a final price.
• The final price, what the creator will do, the dates and the payment terms are those in Devign's written confirmation and the booking contract.
• You pay Devign by invoice. There are no card payments on this site.
• You pay Devign only. Never pay a creator directly, and never accept a request to do so.
• You pay any taxes, duties and bank fees that apply to you, unless the invoice says otherwise.

9. No going around Devign

Creators on Devign Brands are members of the Devign agency, and all contact with them goes through Devign. While your account is open, and for 12 months after it closes, you must not, yourself or through anyone else (including another agency, a network or a related company):

• contact, hire, pay or book outside Devign any creator you found or dealt with through Devign Brands;
• recruit such a creator to another agency, network or program, or help anyone else do so;
• try to find a creator's phone number, email address or other contact details.

For a creator you booked, the 12 months run from the end of your last booking with that creator, if that is later.

This rule does not stop you from working with a creator you can show you already worked with before you found them on Devign Brands.

If you break this rule, we may suspend or close your account, and you must pay Devign the fees we would have earned on that work, as well as any other loss it causes us.

10. Creator information is confidential

The creator information you see on the site (handles, names, photos, regions, topics, pitches and LIVE statistics) comes from creators who opted in to brand deals in the Devign Creator App. You may use it only to choose creators and to work with them through Devign.

• Keep it confidential. Do not share, sell, publish or give it to anyone outside your business.
• Do not copy, scrape, export or store it in bulk, or build a list or database of creators.
• Do not combine it with other data to identify a creator's contact details or private life.
• Delete any notes or copies you keep once you no longer need them for a deal, or when we ask.
• Follow the data protection laws that apply to you.
• Tell us at once at support@devignlb.com if creator information leaks from your business.

Until your business is verified, you see creator handles and names in part only (for example "@ab•••"). A creator who applied to your deal or accepted your invitation is shown in full. More detail is in the Privacy policy.

11. Acceptable use

You must not:

• use bots, scripts, scrapers or any automated tool to use the site;
• probe, scan or test the security of the site, try to get around its limits, or try to reach data that is not yours;
• disturb the site or its users, or send spam;
• sell, rent or give access to the site or its data to anyone else;
• give false information, or pretend to be another business or person;
• use the site for any unlawful purpose.

If you find a security problem, tell us at support@devignlb.com and do not use it.

12. Content and intellectual property

Your content. You keep the rights in what you add, such as your company name, logo and deal texts. You give Devign a free, worldwide licence to store, show, translate, adapt and share this content with creators, in the site, in the Devign Creator App and in our messages to creators, for as long as we need it to run the site and your deals. You confirm you have the right to use everything you upload and that it does not break anyone's rights.

Creators' content. What a creator makes for your deal, such as a LIVE or a video, belongs to the creator unless the booking contract says otherwise. Your right to reuse it (for example in ads, on your website or on other platforms) is only what the booking contract grants.

Our site. The site, its design, its software and the Devign names and logos belong to Devign. You get only the right to use the site under these terms.

13. No guarantee of results

• We do not guarantee views, followers, reach, engagement, clicks, sales or any other result on TikTok or anywhere else.
• We do not guarantee that any creator will accept an invitation, apply to a deal or stay available.
• Creator statistics come from the agency's own records for the month shown. They describe past activity and do not promise future results.
• TikTok may change its rules or features, or act on a creator's account. We are not responsible for what TikTok does.

14. Suspension and closing your account

We may suspend or close your account, or stop offering the site, if you break these terms, if the law requires it, for a security risk, for non-payment, or to protect creators, viewers or Devign. Where we reasonably can, we tell you why and give you a chance to fix the problem.

You can delete your account at any time in Account settings. When you do:

• your open invitations are withdrawn and waiting applications are declined;
• your deals are closed and your drafts are deleted;
• your company and contact details are removed as described in the Privacy policy.

Closing an account does not cancel bookings that Devign already confirmed in writing, or anything you owe for them. Sections 9, 10, 12, 15 and 16 keep applying after your account closes.

15. Disclaimers and limits of liability

We use reasonable care to run the site, but it is provided "as is" and "as available". We do not promise that it will always be available or free of errors. To the extent the law allows, we give no warranties beyond those written in these terms.

To the extent the law allows:

• Devign is not liable for indirect, incidental, special or consequential loss, or for lost profits, sales, business, goodwill or data;
• Devign's total liability to you for all claims about the site and your bookings is limited to the amount you paid Devign in the six months before the event that led to the claim.

Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud.

You are responsible for your deals, your products and your content. You will cover Devign's reasonable losses and costs, including legal fees, from any claim by someone else that comes from your deal, your product, your content or your breach of these terms.

16. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. The courts located in Natrona County, Wyoming have jurisdiction over any dispute about these terms or the site, except where the law gives you a right that cannot be waived. Before going to court, please write to us so we can try to solve the problem.

17. General

• If a booking contract conflicts with these terms, the booking contract applies to that booking.
• If a court finds part of these terms invalid, the rest still applies.
• If we do not enforce a right at once, we do not give it up.
• You may not transfer your account or these terms to anyone else without our written consent. We may transfer them to a company that takes over the site.
• We may send you notices by email to the address on your account, or on the site.

18. Changes to these terms

We may change these terms. When we do, we change the date at the top of this page. If a change matters, we tell you by email or on the site before it takes effect. If you keep using the site after that date, the new terms apply. Changes do not affect bookings Devign already confirmed in writing.
